Contract Pilots Association® (CPA) Bylaws
These Bylaws constitute the governing rules of the Contract Pilots Association® (CPA) (the “Association”) and establish the structure, authority, and operating standards of the Association.
ARTICLE I — NAME AND PURPOSE
Section 1. Name. The name of the organization shall be the Contract Pilots Association® (CPA).
Section 2. Purpose. The Association is organized to promote professionalism, standards, safety, education, and ethical conduct among contract pilots and related aviation professionals.
ARTICLE II — MEMBERSHIP
Section 1. Eligibility. Membership shall be open to individuals meeting eligibility criteria established by the Board of Directors.
Section 2. Classes. The Board may establish classes of membership and associated privileges.
Section 3. Good Standing. Members must remain in good standing to retain membership privileges.
ARTICLE III — BOARD OF DIRECTORS
Section 1. Authority. The affairs of the Association shall be managed by the Board of Directors.
Section 2. Composition. The number and qualifications of directors shall be determined by the Board.
Section 3. Powers. The Board shall have full power to govern the Association.
ARTICLE IV — OFFICERS
Section 1. Officers. Officers shall include a Chair, Vice Chair, Secretary, and Treasurer, or such other officers as the Board may determine.
Section 2. Duties. Officers shall perform duties prescribed by the Board.
ARTICLE V — MEETINGS
Section 1. Board Meetings. Meetings may be held in person or electronically.
Section 2. Quorum. A majority of directors shall constitute a quorum.
ARTICLE VI — DISCIPLINE AND TERMINATION
Section 1. Authority. The Board may discipline, suspend, or terminate membership for cause.
Section 2. Process. Disciplinary procedures shall be established by the Board.
ARTICLE VII — MEMBER FORUM
Section 1. Establishment. The Association may maintain a private, members-only online forum. Participation is a privilege of membership.
Section 2. Forum Rules. The Board may adopt Forum Rules of Decorum governing participation, including real-name use, conduct standards, accident discussion restrictions, and prohibitions on advertising and solicitation.
Section 3. Accident Discussions. Members discuss accidents only after facts are established—not while they are still being determined.
Section 4. Moderation. Moderators act under Board authority.
Section 5. Enforcement. Violations may result in loss of forum access or other discipline.
Section 6. No Agency. The forum is not a placement or endorsement mechanism.
ARTICLE VIII — FINANCES
Section 1. Fiscal Year. The fiscal year shall be determined by the Board.
Section 2. Authority. The Board shall oversee finances.
ARTICLE IX — AMENDMENTS
These Bylaws may be amended by the Board of Directors in accordance with procedures it establishes.
